Not professing to be a professional nor am I attempting to mislead anybody. The risks are inherent if there is a RS...it is not desirable but not necessarily a bad thing in EVERY case. Presumably you are speaking about Rule 504 of Regulation D. This rule provides for an exemption for having to file a Form D for the registration of the sale of securities...like the ones that would be used in ...

...proclaim me to be. I am not nasty and can not stand nastiness. I am not a trucker from Detroit and I am not a male and I don't have a teenage son. I also don't sit in nasty clothes and eat pizza and let it drop on me as I live in a place above a bowling alley. I know who I am and that's all that matters. What I have accomplished is what matters. The people who are my friends and who love me ...

I am not a basher, nor have I ever been one. The challenge with some on this board (you know who you are!), is that they mistake critical thinking for bashing. I have ...

Relenquishing my daughter to adoptive parents was the most difficult, most loving thing I have done in my life. I gave her life, and I gave her a life with a stable, loving family. I am not a 'bad' person, nor was her b-dad a 'bad' person. Adoption was, for all of us, the best choice we could have made at the time. I do not regret it, nor do I feel guilt over it.
