You actually cannot claim an NOL if you were not the company that generated the NOL. WMI did not generate WMB's NOLs and therefore they are not entitled to the benefits of the NOLs generated by WMB. The NOL in the previous 5 years belongs to the company (WMB) that generated the NOL, and the 5-year carry-back provision has nothing at all to do with who the NOL belongs to and has everything to do ...

We elected to forego the 2008 carryback of an NOL to 2006. Now with the new rules the option of going back to 2003 years is attractive. Do the new rules contain a provision that allows us to ignore the prior election not to carryback?

Under the new rules you can elect a 5 year NOL carryback, When you carryback a $100,000 NOL to the fifth year that has $40,000 of taxable income you only get to use $20,000, 50%. So now you have an $80,000 carryforward to year 4. What happens here and in succeeding years?

PFOB NOL is a huge incentive for major shareholders to consider regarding the possibility of Jack Belsito bringing Code Blue into here. Steven Solomon could also bring Palmaz Scientific into this shell just for the huge NOL tax break IMO.
