Have you tried running the application as administrator on Win 7 64? Does the program use some sort of driver or pseudo-driver to accomplish its goals?
Try issuing bcdedit /set loadoptions DDISABLE_INTEGRITY_CHECKS from a
command prompt elevated to administrator. Reboot and try the application again.

looks like I'm getting some "error 1603" issues
I'm thinking the security on the drive is
all messed up since the win7 venture. The question becomes how to fix the security issues. (selecting the drive, right clicking > properties > security tab, added user with full control; no change)

Try this to start... Right click on Computer, click on the Advanced System Settings link on the left, and then click the Settings button under Performance. In the dialog that appears, place the bullet in "Adjust for best appearance". Apply it, and close out of all the windows. Reboot the PC.
Theoretically, that should turn on all the fancy
visual effects in the operating system.

That sounds more like Trojan/crapware kind of symptoms. Have you run a scan with something like malwarebytes?

I forgot to add, that there is a brief BSOD right before the recycle. I was able to catch it: PAGE_FAULT_IN-NONPAGED_AREA. The error code was: STOP: 0x00000050 (0XD67E7241, 0X00000000, 0x80537008, 0x00000000).
I also pulled the iso for Dr. Web Live Image and made a
bootable CD. Memory Test and Scan were good.

Never completely rule out hardware. In fact that
ntoskrnl.exe can just be a bad keyboard. It's the first thing to try with that error. Might also explain why you can't boot from the disk either.
