Well, to state the obvious, one is a standard ATX board, the other is a Micro ATX board.. With that out of the way, these are the differences: The GA-P55-UD3 has: 3 PCI slots. 2 PCI-E x1 slots. DX11 is on automatically with DX11 cards and DX11 installed.
Anyway, I can't remember my score exactly, but I had everything maxed out at 1920x1200 at 8x MSAA on my 5850 and the average FPS was 30.something and minimum was 29.something.

It's just standard virtualisation. It requires 2 downloads, one of Virtual PC, and one of the 'XP Mode' which is in the form of an executable file, so I presume it's a small-ish version of Windows Xp packaged up and designed to be installed directly into Virtual PC so no "plank walkin' be happenin'".

This is a very good explanation of cap discharging in a PSU for someone who has never done it.
As for the fan, make sure it is a regularly sized low RPM 120MM case fan, with molex connectors and no more than a red and black wire.

Defragmentating is likely to help if you havn't done it in a while. It basically groups the current structure and layout of the files into a more organized structure, therefore, decreasing the read times, since the system doesn't have to go looking for particular files.
You might also want to try a file clean up and a registry clean up, both forms of maintenance can be done by using CCleaner....

Nothing software related lately. Just hardward. Last month my hard drive died, then a couple weeks after that my PSU. All up and running now, though. Better, modular psu now, too!
Oh, and MW2 wouldn't go windowed for me.. the other games worked with a few minor changes.

I would say that both cards are about equal performance-wise exchanging blows depending on the game. Anyway, at the res you'll be playing at I doubt there's gona be any difference so go for the cheaper one.
